Northeast Nebraska Teacher
Academy

THIS AGREEMENT made
and entered into this 1st day of June, 2000 by and between the following
School Districts, Educational Service Unit and Wayne State College all
of which are political subdivisions of the State of Nebraska, to wit:
Allen Consolidated Schools 26-0070, Coleridge Community Schools 14-0541,
Emerson-Hubbard Public Schools 87-0561, Hartington Public Schools 14-0008,
Laurel-Concord Public Schools 14-0054, Norfolk Public Schools 59-0002,
Pender Public Schools 87-0001, Pierce Public Schools 70-0002, Ponca Public
Schools 26-0001, Randolph Public Schools 14-0045, South Sioux City Community
Schools 22-0011, Wakefield Public Schools 90-0560, Wayne Community Schools
90-0017, and Winside Public Schools 90-0595, Educational Service Unit
#1, and Wayne State College (Fiscal Agent). Said School Districts are
hereinafter collectively referred to as the "Northeast Nebraska Teacher
Academy (NENTA)," and are hereinafter referred to individually as
"Members", and said Wayne State College is hereinafter referred
to as "Fiscal Agent." WITNESSETH:
WHEREAS, the parties hereto desire to enter into an Inter-Local Agreement
pursuant to the Nebraska Inter-Local Cooperation Act, Neb. Rev. stat.
' ' 13-801 et. seq. (Reissue 1991) to establish, maintain, and operate
the Northeast Nebraska Teacher Academy for the purpose of providing certificated
substitute teachers within the boundaries of the NENTA: and,
WHEREAS, the Members have agreed to cooperatively provide such substitute
teaching services within the boundaries of the NENTA and its respective
Members; and,
WHEREAS, the parties hereto have reached an Agreement for jointly providing
such services and desire to reduce the terms and conditions of such Agreement
to writing;
NOW, THEREFORE, in consideration of the foregoing recitals and the terms
and conditions hereinafter set forth, the parties covenant and agree as
follows:
1. Purpose The parties hereto agree, pursuant to Neb. Rev. Stat.
13801 et. seq.
(Reissue 1991), to jointly provide the following services within the combined
boundaries of the NENTA Members:
(a) To establish, maintain, and operate the Northeast Nebraska Teacher
Academy for
purposes including, but not limited to, the following: Direct Student
Instruction, in the absence of the regular teacher; In-service Training
and Technical Assistance; Administrative Supervision and Evaluation; Program
Coordination and Substitute Teacher Placement.
(b) Assist with training and staff development for regular teaching staff.
(c) To perform such other and further services, as are subsequently agreed
upon
and evidenced by a written addendum, executed on behalf of the Members.
2. Management
NENTA shall be managed and controlled in accordance with the
terms and conditions of this Inter-Local Agreement and NENTA By-laws.
Each Member shall approve this Inter-Local Agreement and NENTA By-laws
and a copy of the signed Inter-Local Agreement and NENTA By-laws shall
be kept on file at the office of the NENTA's Fiscal Agent. The Members
further agree that Wayne State College shall serve as the fiscal agent
for the duration of Inter-Local Agreement, and shall provide management
to the NENTA.
3. Duration
The Term of this Agreement shall be three (3) years, commencing on
July 1, 2000 and terminating on June 30, 2003; provided, however, the
term of this Inter-Local Agreement may be extended by the approval of
all the Members. Notwithstanding the term hereof, this Inter-Local Agreement
shall become effective only after all Members have executed this instrument
or a counterpart thereof.
4. Manner of Acquiring
and Holding Property During the term of this agreement, and
any extensions thereof, the NENTA may purchase, lease or acquire property
as may be required for the operation of the NENTA as for the purpose of
carrying out this Inter-Local Agreement. Any such personal property shall
be acquired by any legal means and may be acquired from any Member of
the NENTA or any other source. Title to such personal property shall be
held in the name of the Fiscal Agent.
5. Equipment Requirements
Each Member to the Agreement is required to provide
all local equipment and items necessary to carry out the purpose of this
agreement. These equipment requirements include, but are not limited to,
the following:
(a) An adequate electrical supply to operate video equipment used to
video tape lessons.
(b) Standard and usual classroom materials and equipment necessary for
the proper instruction of students under the care of a substitute
teacher.
6. No Separate
Entity The NENTA Advisory Council, created hereunder, is not a new
or separate legal entity and its powers are limited to those granted by
this Inter-Local Agreement and by the provisions of the Nebraska Inter-Local
Cooperation Act.
7. Expansion of
Membership Participation in the NENTA shall be limited to the
Members who are parties of this Inter-Local Agreement; provided, however,
the Members may expand the Membership of NENTA by unanimous consent of
all of its then current Members. The NENTA Advisory Council shall receive
and consider applications from educational institutions and school districts
who request to participate in NENTA's substitute teacher program. The
NENTA Advisory Council shall act upon such requests and shall establish
the fees, cost, charges, leases, and assessments, and other conditions
required for participation by the applicant in the NENTA Substitute Teacher
Program if such request is granted as provided in the paragraph.
8. Termination
This Agreement may be terminated, during the initial term or any
extensions thereof, only by a three-fourths (3/4) vote of the then Members
of the NENTA at large. In the event of termination, unless otherwise agreed
by a three-fourths (3/4) vote:
(a) All equipment or property furnished by a Member pursuant to
paragraph 5 of this agreement, shall be retained by the Member.
(b) All equipment or property owned by the NENTA under the control of
the Advisory Council, shall be conveyed to the Members by appropriate
documents.
(c) Any equipment or property held by the Fiscal Agent on behalf of the
NENTA shall be distributed to the Members on an equal basis. Such
property may be distributed in cash or in kind, however, if a
dispute exists among the Members as to the value of any such
property, such items shall be sold by taking bids and selling the said
property
as set forth above. The NENTA Advisory Council shall make a report of
its activities within 120 days after the termination of this Inter-Local
Agreement and the liquidation of its assets to all Members of the
NENTA at the time of said termination and liquidation.
9. Withdrawal Any Member may withdraw from the Agreement by giving
written notice to the Fiscal Agent at least ninety (90) days before the
date of withdrawal. Regardless of withdrawal, the withdrawing Member will
continue to remain responsible and accountable for all expenses for which
funds have been committed by NENTA, for or on behalf of the withdrawing
Member or which were reasonably based on the Members continued use or
participation prior to the date of the notice of withdrawal which cannot
be reasonably avoided, including, but not limited to, any required reimbursement
by the Excellence in Education Grant. Any Member may withdraw without
penalty, by submitting a written notice to the Fiscal Agent sixty (60)
days before the close of any fiscal year. The withdrawal shall be effective
at the close of the fiscal year. In either event, the Member shall be
responsible for the pro-rated share, as computed in paragraph 8, of the
expenses incurred for the current fiscal year, plus any funds committed
or expended by the Fiscal Agent for future years. The withdrawing Member
shall forfeit all interest in the revenue and/or personal property in
control of the Fiscal Agent.
10. Amendment of Agreement The agreement, except as provided in
paragraph 3, may only be amended by a unanimous vote of the Members.
11. Headings Headings in this Inter-Local Agreement are for convenience
only and shall not be used to interpret or construe its provisions.
12. Governing Law The Agreement shall be construed in accordance
with and governed by the laws of the State of Nebraska.
13. Counterparts This Inter-Local Agreement may be executed in
two or more counterparts, each of which shall be deemed an original but
all of which together shall be and constitute one and the same instrument.

Exhibit "A"
BY-LAWS OF THE NORTHEAST NEBRASKA TEACHER ACADEMY
1. GOVERNANCE The Advisory Council shall serve as the governance
board and shall include one (1) Project Director, two (2) Project Coordinators,
two (2) Project Facilitators and a total of five (5) representative superintendents
of the Member schools, who are responsible to administer and implement
the purposes of this Agreement. Each Member of the Advisory Council shall
have one vote on matters coming before the board. A minimum of six (6)
Members shall constitute a quorum of the governance board for the transaction
of any NENTA business. All business and acts of NENTA shall be determined
by an affirmative vote of the majority of the board members in attendance
at a meeting of the NENTA Governance Board. Any Governance Board member
may request meetings of the Governance Board. A written notice of the
meeting and agenda shall be provided to the NENTA Governance Board members
by mailing the same at least five (5) days prior to each NENTA Governance
Board meeting. The NENTA Project Director shall serve as chair of the
Governance Board and facilitate all meeting preparation.

2. POWERS The NENTA Advisory Council shall have such powers as
are allowed by the Inter-Local Cooperation Act and any amendments thereto,
including, but not limited to the following powers:
A. To make and execute contracts and other Agreements necessary or convenient
to the exercise of its powers;
B. To make, amend, and repeal by-laws, rules, and regulations to carry
out and effectuate its powers and purposes;
C. To purchase, lease, plan, develop, construct, equip, maintain, and
improve equipment, and other property that may be necessary for the fulfillment
of its purposes;
D. To employ, lease, or share personnel to provide support and services
needed to carry out the purposes of this Agreement;
E. To acquire, hold, use, and dispose of other personal property for the
purposes of NENTA.
F. To make or cause to be made studies and surveys necessary or useful
and convenient for carrying out the functions of NENTA;
G. To contract with and compensate consultants for professional services
including, but not limited to, architects, engineers, planners, lawyers,
accountants, and others found necessary or useful or convenient for the
stated purposes of NENTA;
H. To provide for a system of budgeting, accounting, auditing, and reporting
of all NENTA funds and transactions, for a depository, and for bonding
of employees;
I. To consult with representatives of federal, state, and local agencies,
departments, and their officers and employees and to contract with such
agencies and departments;
J. To exercise such other powers as are available under the existing law
of each Member;
K. To accept grants, contributions, and property from, and to enter into
contracts, leases, or other transactions with municipal, county, state,
or the federal government, including any Member; and
L. To receive any money from any source to carry out the purpose of this
agreement.
3. BUDGETING NENTA shall follow a budget based on a fiscal year
commencing on July 1st and ending on June 30th. Such budget shall follow
the NENTA Excellence in Education Grant Budget and be adopted by the NENTA
Advisory Council no later than July 1st of the budget year. Wayne State
College will act as Fiscal Agent of the NENTA. All checks, drafts, bills
of exchange, notes or other obligations or orders for the payment of money
shall be executed, endorsed, acknowledged, and delivered by Wayne State
College.
Each school district, which is a party to this Agreement, agrees to finance
the operation of the NENTA in the manner specified in Exhibit B. The funds
required to operate NENTA shall be derived from the annual fees schedule
and at the rate established for services provided to school districts
and other educational institutions, districts and community organizations,
and from funds received from grants and/or state and federal projects;
and such other funds as are lawfully available to NENTA.

"Be it resolved that agrees to join the Northeast Nebraska
Teacher Academy Consortium and approves the Interlocal Agreement and By-laws
for participation in the Northeast Nebraska Teacher Academy."

NENTA Annual Fees
The annual fee is established to provide the necessary revenue to cover
the cost of substitute teacher certification and administration. The fee
schedule, based on the previous year's ADM, is outlined below:

NENTA Subtitute Teacher Cost
NENTA districts will contribute $65 per day for Wayne State
College students hired to substitute in their districts. These fees are
due on a monthly basis. Please make check payable to: Northeast Nebraska

NENTA Substitute Teacher Stipend
Northeast Nebraska Teacher Academy will pay a $50 per day stipend
to students for days of service in NENTA districts as substitute teachers.
Payroll dates, etc... will follow the general procedures of Wayne State
College.
NENTA Mileage Reimbursement
Students will be paid mileage at the rates established below for days
of service in NENTA districts as substitute teachers. Payroll dates, etc...
will follow the general procedures of Wayne State College.
